I. Project Scope & Agreement:

- Revisions & Changes: Any changes or revisions to the agreed-upon project scope will be documented and may be subject to additional fees and adjusted timelines. Change requests must be submitted in writing and approved by both parties.
II. Client Responsibilities:
- Content Provision: The Client is responsible for providing all necessary content, including text, images, logos, and other materials, in a timely manner and in the specified format. Delays in providing content may impact project timelines.
- Feedback & Approvals: The Client is responsible for providing timely feedback and approvals at designated milestones throughout the project. Failure to do so may result in project delays.
- Website Maintenance: Unless otherwise agreed upon, the Client is responsible for the ongoing maintenance and upkeep of the website after launch. This includes updates, security, and hosting.
- Compliance: The Client is solely responsible for ensuring that their website and its content comply with all applicable laws and regulations.
III. Integritas Technologies Resource Responsibilities:
- Project Completion: The Company will endeavor to complete the project within the agreed-upon timelines and to the specifications outlined in the project agreement.
- Quality Assurance: The Company will strive to deliver high-quality work that meets industry standards and best practices.
- Communication: The Company will maintain open communication with the Client throughout the project, providing regular updates and addressing any concerns promptly.
IV. Payment Terms:
- Payment Schedule: Payment terms will be outlined in the project agreement. Typically, projects involve a deposit upfront, with subsequent payments tied to project milestones.
- Late Payments: Late payments may be subject to interest charges.
V. Intellectual Property:
- Ownership: Unless otherwise agreed upon in writing, the Client owns the final website design and content created for their project. The Company retains ownership of any proprietary code, tools, or methodologies used in the development process.
VI. Confidentiality:
- Mutual Agreement: Both parties agree to maintain the confidentiality of any sensitive information shared during the course of the project.
VII. Disclaimer of Liability:
- Client Content & Use: Integritas Technologies Resource designs and develops websites based on client specifications. We are not responsible or liable for the content, use, or legality of the websites we design once they are launched and under the client’s control. This includes, but is not limited to, the products or services offered, the information provided, or any legal issues that may arise from the client’s use of the website. It is the client’s sole responsibility to ensure their website complies with all applicable laws and regulations.
- Third-Party Services: We are not responsible for the performance or reliability of third-party services, such as hosting providers, domain registrars, or payment gateways.
VIII. Termination:
- Mutual Agreement: This agreement may be terminated by mutual written consent of both parties.
- Client Termination: The Client may terminate this agreement, subject to payment for work completed up to the point of termination.
- Company Termination: The Company may terminate this agreement if the Client breaches any of the terms outlined herein.
IX. Governing Law:
This policy shall be governed by and construed in accordance with the laws of [NIGERIA].
X. Policy Updates:
This policy may be updated periodically. Clients will be notified of any changes.
